BY-LAWS

NORTH ATLANTIC YOUTH SOCCER LEAGUE

I.                Purpose

The purpose of the North Atlantic Youth Soccer League (known hereafter as NAYSL) is to promote sportsmanship and fair play and to provide an opportunity for young soccer players to develop their skills, have fun and achieve their highest potential.  NAYSL is established as a 501C3 not for profit organization for the benefit of youth players competing.

II.              Operational Year

The league will operate from September 1 through August 31.

III.            Affiliations

NAYSL shall be an affiliated league and comply with the authority of the State Associations involved, the United States Youth Soccer Association (USYSA), the United States Soccer Federation (USSF) and the Federation Internationale de Football Association (FIFA).

IV.            Officers

The Officers of the NAYSL will consist of the Chairman, Vice Chairman, Treasurer and Secretary.  All officers will be elected by the Presidents (or designee) of participating states in the NAYSL.

Length of terms will be two years upon election.

The Chairman and Secretary will be elected in ODD Numbered years.

The Vice Chairman and Treasurer will be elected in EVEN Numbered years.

V.  Board of Directors

The board of directors shall consist of the NAYSL Officers and three (3) At-Large Commissioners serving two year terms beginning from the year elected to the Board.

The At-Large Commissioners will be elected by the General Membership of the League.

 

 No more than one member of the same Club may be a member of the BOD at any one time. The Chairperson, in consultation with the BOD, may appoint other persons to sit in advisory, non-voting capacities as he or she deems appropriate.

Nominating Committee   In each year, the Chairperson shall appoint, on or before May 1, a Nominating Committee for the purpose of submitting nominations for those positions on the BOD whose terms expire at the next Annual General Meeting. The Nominating Committee shall be composed of three members. The Nominating Committee shall submit its report to the BOD on or before August 1 each year, and the report of the Nominating Committee shall be included in the Notice of Annual Meeting.

VI. Membership

Membership shall be open to any and all clubs. A Club consists of one or more teams sharing a common name, organized in concert for the conduct of play. Membership shall become effective upon acceptance of the application of one or more of the club's teams by NAYSL or by other method certified by the BOD.  Any team participating in the league MUST be a member of USYS.  Dual registration is allowed between any USSF affiliate.

Suspension Any member of NAYSL may be suspended or expelled by a resolution passed by not less than two-thirds of the full BOD. The member involved shall be notified of the intended action and may make a statement to the BOD before the resolution is put to a vote. The decision of the BOD shall be binding pending any legally available appeal.

VII.         MEETINGS OF THE MEMBERSHIP

 Annual Meeting The members shall meet annually in the month of September at a time and place to be determined by the BOD. The meeting shall elect the members of the BOD for the following seasonal year; consider and make recommendations to the BOD concerning the Treasurer's report and the budget for the following year; review and approve or amend by-laws and regulation; and act upon such other matters as may be brought before the meeting by a member or by a member of the BOD. 

Special Meetings A special meeting may be called by the BOD or by any four (4) member clubs to consider such matters as may be included in a written notice to the NAYSL Secretary requesting such meeting.

Member Voting Each BOD member shall have one (1) vote.  Each member club shall be entitled to a number of votes equal to the number of teams it has in NAYSL at the time of the meeting, or, in the case of any meeting between the end of the State Cups and August 1, had the previous season. Proxy voting is allowed. An individual may cast the votes for one organization only. The league recognizes the club contacts and presidents as the voting representatives. If the club is designating another individual to cast the votes, that designation must be made by the club president in writing (by e-mail, postal mail or hand delivery) prior to the meeting. Members of the BOD, to the extent not accredited by a club, are each entitled to one vote upon accreditation of the Secretary. Members of the BOD accredited to the meeting by a member club shall only be entitled to cast his or her club's vote. Unless otherwise specified herein, all votes shall be by a simple majority of those present and voting.

Quorum   Twenty (20) accredited votes shall constitute a quorum for the transaction of all business.

Notice:  The Secretary shall give 30 days written notice of all meetings, setting out the agenda thereof and including all relevant reports and other material to all member clubs and the Commission.

VIII.       VOTING

 Amendment to By Laws:  The By Laws of the NAYSL may be amended by vote of at least two-thirds (2/3) of the NAYSL members present at the Annual Meeting.

Amendment to the Playing Rules : The playing rules may be amended by a vote of over 50% of the Directors present at a Board of Directors meeting.

IX.            DISSOLUTION

Upon the dissolution of the NAYSL and after all outstanding debts and claims have been satisfied, the Board of Directors shall distribute the property of the league to any other nonprofit organization maintaining a purpose similar to that set forth herein.

 

 

 

X.              PRIMARY DUTIES

A.     CHAIRPERSON (Voting position)

a.      Preside at annual, regular and special meetings.

b.     Set time and place of meetings as prescribed in the By Laws.

c.     Handle public and parental relations.

d.     Appoint Appeals/Hearing Officer.

 B. VICE CHAIRPERSON (Voting position)

a. Preside at meetings in which the chairperson is absent.

b. Assist Chair and BOD with whatever is necessary.

C. SECRETARY (Voting position)

a. Record minutes of all NAYSL meetings.

b. Maintain NAYSL database.

               c. Handle correspondence.

D. TREASURER (Voting position)

a. Prepare Annual Budget for approval at Annual Meeting.

b. Maintain financial records in accordance with state and federal laws.

c. Present financial report at each meeting of the NAYSL BOD.

d. Make sure that all approved bills are paid in a timely manner.

e. Have an independent audit conducted by an independent accounting firm at least every two (2) years.

 E. LEAGUE ADMINISTATOR (Non-Voting position)

a. Provide all necessary forms to members to complete registration for NAYSL and with appropriate State Association.

b. Approve team rosters.  Register teams.

C. Handle day to day operations.

D. Paid position with sum to be decided by NAYSL BOD.

E  Oversee/Set Up scheduling of matches.

 

F. APPEALS/HEARING OFFICER (Non-Voting position)

A. Form Hearing/Appeals Committee to respond to member grievances.

B. Provide written notice of hearing to all parties involved at least 14 days prior to the hearing.

C.  Follow Hearing/Appeals procedures in accordance with NAYSL, (State Association), USYSA, USSF guidelines.

D. Appointed by Chairperson

     

XI. FEES

Registration fees and deadlines will be set by the NAYSL Board of Directors.

      XII. REGISTRATION

 Each team will complete and submit the team registration form with current fees to NAYSL League Administrator for approval. Once a player has been approved on a team roster that player may not be approved for any other team roster, playing in NAYSL, during the same playing year without the approval of the Board of Directors

    XIII. CODE OF ETHICS

 Coaches who do not abide by the Code of Ethics of NAYSL associated State Associations may be removed from the NAYSL after an impartial disciplinary hearing has been conducted.

     XIV. APPEALS/HEARINGS

Any team member in good standing has the right to submit a written grievance to the Board of Directors. A grievance that can be handled immediately should be handled by the ranking officer(s) at the game site. If the resolution is not satisfactory, the grievance should be submitted in writing to the Board of Directors. All details of the grievance shall be submitted to the Appeals/Hearing Officer who will convene a Hearing Committee. The Hearing Committee will render a decision and notify all parties. Parties to a grievance may submit a written appeal, pertinent documents and the current appeal fee to the President of the League who will schedule a special meeting to reconsider the decision of the Hearing Committee. Written notice of the hearing to all parties involved will be provided at least 14 days prior to the hearing. No decision which arises out of the application of the rules of competition, which is made in the course of competition, and has no consequence beyond the competition, is appealable. The decisions of the NAYSL Appeals/Hearing Committee will be binding unless the decision is overturned by a higher authority.
